Service.

By accessing or using any Focii Labs website, product, or service ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services. We may revise these Terms at any time; continued use after a revision constitutes acceptance.

Focii Labs provides software products and venture studio services including, but not limited to, TrustSource DB, MotivateMe, Pulsify, and client engagement services. Each product may have its own supplemental terms that apply alongside these Terms.

Where a product requires an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorised access at security@fociilabs.com. We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to:

• Use our Services for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract source code
- Introduce malware or conduct denial-of-service attacks
- Scrape or harvest data without express written permission
- Impersonate Focii Labs or its team members
- Resell or sublicense access to our Services without authorisation

All content, code, trademarks, and intellectual property on our websites and in our products are owned by Focii Labs Inc. or our licensors. Nothing in these Terms transfers ownership to you. You may not reproduce, distribute, or create derivative works without our prior written consent.

Services provided to clients under a Statement of Work ("SOW") or Master Services Agreement ("MSA") are governed by those documents. In the event of a conflict between these Terms and a signed SOW/MSA, the SOW/MSA controls.

Fees for commercial services are set out in the applicable SOW or product subscription page. Invoices are due within 30 days of issue unless otherwise agreed. Late payments accrue interest at 1.5% per month. We reserve the right to suspend access for non-payment after written notice.

Our Services are provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Focii Labs and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services. Our total aggregate liability shall not exceed the greater of CAD $100 or the fees you paid us in the 3 months preceding the claim.

You agree to indemnify and hold harmless Focii Labs and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Services, or your violation of any third-party right.

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia, and you consent to the exclusive jurisdiction of those courts.

We may suspend or terminate your access to the Services at any time with or without cause and with or without notice. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.
